Terms and Conditions
Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the websites, platforms, systems, applications, APIs, and services (collectively, the “Platform”) operated by Paradigm, Inc. (“Paradigm”, “we”, “us”, or “our”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
These Terms apply to all users, including institutions, partners, and individual users.
Eligibility
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.
Intellectual Property
All intellectual property rights in and to the Platform and all related materials, including but not limited to software, systems, methods, processes, user interfaces, data, workflows, documentation, and content (collectively, the “Platform Materials”), are owned by or licensed to Paradigm, Inc. and are protected by applicable intellectual property laws.
Except as expressly permitted, no rights are granted to you under any intellectual property rights of Paradigm, Inc., whether by implication, estoppel, or otherwise.
Your use of the Platform is subject to our Intellectual Property Use Guidelines, which are incorporated herein by reference.
Limited License
Subject to your compliance with these Terms, Paradigm, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes.
Restrictions on Use
You agree that you will not, and will not permit any third party to:
- Copy, reproduce, distribute, or publicly display any Platform Materials
- Modify, adapt, or create derivative works
- Reverse engineer, decompile, or disassemble any portion of the Platform
- Attempt to access source code, algorithms, or underlying structure
- Use the Platform to develop or support competing products or services
- Scrape, harvest, or extract data
- Use automated means (including bots, scripts, or crawlers) to access the Platform
- Circumvent, disable, or interfere with security or validation mechanisms
- Access or attempt to access areas of the Platform without authorization
- Use the Platform in any way that could damage, disable, or impair functionality
- Use the Platform in violation of any applicable laws or regulations
Accounts and Security
Certain areas of the Platform may require account credentials. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
Paradigm, Inc. reserves the right to suspend or terminate access at its discretion.
User Content
“User Content” means any content you submit, upload, or display on the Platform.
You retain ownership of your User Content. However, by providing User Content, you grant Paradigm, Inc. a non-exclusive, worldwide, irrevocable, sublicensable, royalty-free license to use, reproduce, modify, and distribute such content for purposes of operating and improving the Platform.
You represent that:
- You have the rights to provide such content
- Your content does not violate any third-party rights
Paradigm, Inc. reserves the right to remove User Content at any time.
Feedback
If you provide any feedback, suggestions, or improvements, you agree that Paradigm, Inc. may use such feedback without restriction and without compensation to you.
No Warranties
The Platform is provided “as is” and “as available,” with all faults.
Paradigm, Inc. makes no warranties, express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
We do not warrant that the Platform will be uninterrupted, secure, or error-free.
Limitation of Liability
To the fullest extent permitted by law, Paradigm, Inc. and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Platform.
In no event shall Paradigm, Inc.’s total liability exceed the amount paid by you (if any) for use of the Platform.
Indemnification
You agree to indemnify and hold harmless Paradigm, Inc. and its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses arising out of:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
Equitable Relief
You acknowledge that any breach of these Terms, including any unauthorized use of the Platform or violation of Paradigm, Inc.’s intellectual property rights, may cause irreparable harm for which monetary damages would be insufficient. Accordingly, Paradigm, Inc. shall be entitled to seek immediate injunctive or other equitable relief, without the requirement to post bond or prove actual damages, in addition to any other remedies available at law or in equity.
Suspension and Termination
Paradigm, Inc. may suspend or terminate your access to the Platform at any time, with or without notice, if you violate these Terms or for any other reason at its discretion.
Third-Party Materials
The Platform may include materials owned by third parties and used under license. Nothing in these Terms grants you any rights to such third-party materials.
Changes to Terms
Paradigm, Inc. may update or modify these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
Assignment
Paradigm, Inc. may assign or transfer its rights and obligations under these Terms without restriction. You may not assign your rights without prior written consent.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver
The failure of Paradigm, Inc. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Paradigm, Inc. The waiver of any breach or default shall not constitute a waiver of any subsequent breach or default.
Force Majeure
Paradigm, Inc. shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, failures of utilities or telecommunications networks, internet or service provider outages, or failures of third-party service providers.
During any such event, Paradigm, Inc.’s obligations shall be suspended for the duration of the event, and Paradigm, Inc. shall use commercially reasonable efforts to resume performance as soon as practicable.
Entire Agreement
These Terms constitute the entire agreement between you and Paradigm, Inc. regarding your use of the Platform and supersede all prior agreements.
Order of Precedence
In the event of any conflict or inconsistency between these Terms and any other policies, guidelines, or documents referenced herein, including the Intellectual Property Use Guidelines, these Terms shall control unless expressly stated otherwise in a separate written agreement executed by Paradigm, Inc. In the event of a conflict between these Terms and any executed written agreement between you and Paradigm, Inc., the terms of such written agreement shall control to the extent of the conflict.
Governing Law and Jurisdiction
These Terms shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
You agree to submit to the exclusive jurisdiction of the state and federal courts located in Virginia.
